Clarification on Relationship Between European Wellness Biomedical Group (“EWBG”) and The Conscious State, The Conscious Studio Pvt Ltd (“TCS”) and its shareholder, Ravi Tej Allam

To Whom It May Concern

Subject: Clarification on Relationship Between European Wellness Biomedical Group (“EWBG”) and The Conscious State, The Conscious Studio Pvt Ltd (“TCS”) and its shareholder, Ravi Tej Allam.

European Wellness has terminated its relationship with TCS after the Bio Regenerative Precision Medicine Seminar Held in India from 18 to 20 May 2024 (“The Event”). In addition, any stake previously held by EWBG or Prof Mike in TCS, which was intended for educational purposes, has been fully terminated and divested. As such, there is no ongoing collaboration, association, or financial relationship between the parties following the conclusion of the event.

European Wellness further clarifies the following:

1. No Ongoing Financial Relationship
   Following the termination in 2024, there is no financial relationship, investment, or commercial arrangement between European Wellness and TCS.
2. No Agency or Representation
   Neither TCS nor Ravi is an agent, partner, distributor, affiliate, or representative of EWBG. European Wellness Bharat, represented by Ravi, is not an authorized entity of EWBG and has no legal right to represent, act on behalf of, issue invoices or other documents under EW logo, or receive any revenue for EWBG.
3. No Authority to Bind or Represent
   Neither TCS nor Ravi have any authority to represent, speak on behalf of, enter into agreements for, or otherwise legally bind European Wellness in any capacity.
4. No Rights to Receive or Collect Revenue
   Ravi, the main shareholder of TCS, does not have any right or authority to receive, collect, or claim any revenue, payment, or financial benefit on behalf of European Wellness.
5. No Rights to Intellectual Property or Branding
   Neither TCS nor Ravi has any rights to use, license, or represent the intellectual property, trademarks, technologies, products, or services of European Wellness without the prior written consent of European Wellness.
6. Independent Organizations
   TCS operates entirely independently, and any past interactions should not be construed as establishing any form of partnership, joint venture, agency, franchise, or formal affiliation.
